Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
    
On March 13, 2018, C. Howard Nye notified Cree, Inc. (the “Company”) of his decision to not stand for reelection at the Company’s 2018 Annual Meeting of Shareholders (the “2018 Annual Meeting”) and to resign from the Company’s Board of Directors (the “Board”) effective as of the date of the 2018 Annual Meeting. Mr. Nye will continue to serve as a director and chairperson of the Governance and Nominations Committee and member of the Compensation Committee until the 2018 Annual Meeting. Mr. Nye’s decision to resign was not the result of any disagreement with the Company on any matter.
